GELMAX TRADE TERMS & CONDITIONS
1. General
These Terms & Conditions govern all sales, deliveries, website usage, customer accounts and transactions with Gelmax Pte Ltd ("Gelmax").
By accessing our website, creating an account, placing an order or purchasing products from Gelmax, the customer agrees to be bound by these Terms & Conditions.
Gelmax reserves the right to amend these Terms & Conditions, prices, delivery schedules, policies and procedures at any time without prior notice. The latest version published on the Gelmax website shall prevail.
2. Orders
All orders are subject to acceptance by Gelmax.
Submission of an online order does not constitute acceptance of the order. Gelmax reserves the right to accept, reject, amend or cancel any order prior to confirmation.
Orders may be refused where products are unavailable, pricing errors exist, customer account issues arise, or for any other reasonable commercial reason.
Customers are responsible for ensuring that all information submitted with an order is accurate and complete.
3. Pricing and GST
All prices are quoted in Singapore Dollars (SGD) unless otherwise stated.
Prices exclude prevailing Goods and Services Tax (GST) unless specifically indicated otherwise.
All prices are subject to change without prior notice.
Promotional prices, discounts and special offers may be amended or withdrawn at any time without prior notice.
Pricing errors may occasionally occur. Gelmax reserves the right to cancel or amend any order affected by an obvious pricing error.
4. Product Availability
All products are subject to stock availability at the time of order confirmation.
Gelmax reserves the right to limit quantities supplied, substitute equivalent products where agreed by the customer, or cancel unavailable items.
Product photographs, descriptions, specifications, weights and dimensions are provided for reference only and may differ from the actual product supplied.
5. Delivery Schedule
Delivery schedules, order cut-off times and service areas are published by Gelmax and may be updated from time to time.
Customers acknowledge that the Ordering & Delivery Schedule published by Gelmax forms part of these Terms & Conditions.
No deliveries are made on Sundays or Singapore Public Holidays unless otherwise agreed in writing.
Delivery dates and times are estimates only and may be affected by operational requirements, traffic conditions, customs clearance, supplier delays or circumstances beyond Gelmax's reasonable control.
Gelmax shall not be liable for losses arising from delayed deliveries.
Customers shall ensure safe and reasonable access to the delivery location.
6. Minimum Order and Delivery Charges
Free delivery is available for orders meeting the minimum order value specified in the current Gelmax Delivery Schedule.
Orders below the minimum order value may be subject to a delivery charge.
Unless otherwise stated, orders below SGD 150 (before GST) may be subject to a delivery charge of SGD 30.
Gelmax reserves the right to revise minimum order requirements and delivery charges at any time.
7. Indent and Special Order Products
Indent products and special-order items are supplied on a pre-order basis and may require extended lead times.
Lead times are estimates only and may vary depending on supplier production schedules, shipping schedules, customs clearance and public holidays.
Orders for indent products may not be cancelled once confirmed with the supplier.
Deposits may be required for selected indent products.
Where deposits are paid, such deposits may be non-refundable unless otherwise agreed in writing.
8. Payment Terms
Payment shall be made in accordance with the payment terms approved by Gelmax.
Customers with approved credit facilities must settle invoices within the agreed credit period.
Gelmax reserves the right to suspend deliveries, customer accounts and credit facilities where invoices remain overdue.
Gelmax may require advance payment, partial payment or Cash on Delivery (COD) at its sole discretion.
9. Late Payment
Interest may be imposed on overdue invoices at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.
Customers shall be responsible for all costs, expenses, legal fees and recovery charges incurred by Gelmax in recovering overdue amounts.
Gelmax reserves the right to suspend further deliveries until outstanding balances are fully settled.
10. Retention of Title
Ownership of all goods supplied by Gelmax shall remain with Gelmax until full payment of all amounts owing has been received.
Risk in the goods shall pass to the customer upon delivery.
Until ownership passes, Gelmax reserves the right to recover the goods where payment remains outstanding.
11. Inspection, Returns and Claims
Customers must inspect all goods immediately upon delivery.
Any claim for damaged, missing, defective or incorrect products must be reported to Gelmax within 24 hours of delivery.
Returns shall only be accepted with prior approval from Gelmax.
Products returned without prior authorization may be rejected.
Products must be returned in their original condition and packaging where applicable.
Gelmax reserves the right to inspect returned products before approving any replacement, refund or credit note.
Food products, chilled products, frozen products and perishable items are generally non-returnable unless defective, damaged or supplied incorrectly.
12. Cancellation of Orders
Orders may not be cancelled after confirmation without Gelmax's written approval.
Gelmax reserves the right to recover any costs incurred in relation to cancelled orders, including supplier charges, freight costs, administrative costs and special-order commitments.
13. Limitation of Liability
To the maximum extent permitted by law, Gelmax shall not be liable for any indirect, consequential, incidental, special or economic losses arising from the sale, delivery or use of any product.
Gelmax's total liability shall not exceed the value of the products supplied under the relevant order.
Nothing in these Terms shall exclude liability where exclusion is prohibited by law.
14. Privacy and Personal Data
Gelmax respects the privacy of its customers and is committed to protecting personal information.
Personal information may be collected for the following purposes:
• Processing orders and deliveries
• Customer account administration
• Payment processing
• Customer service and support
• Marketing and promotional activities where consent has been provided
• Compliance with legal and regulatory requirements
By using our website or placing an order, customers consent to the collection, use and disclosure of personal data in accordance with applicable laws and regulations.
Customers may request access to, correction of or withdrawal of consent relating to personal data by contacting Gelmax.
15. Age of Consent
By using this website, creating an account, placing an order or purchasing products from Gelmax, the customer confirms that they are legally permitted to enter into binding agreements under applicable laws.

Customers access such websites at their own risk.
26. Force Majeure
Gelmax shall not be liable for any delay or failure to perform its obligations arising from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, transportation disruptions, government restrictions, supplier failures, power outages, cyber incidents or customs delays.
27. Changes to Terms and Policies
Gelmax reserves the right to modify, update or replace these Terms & Conditions, delivery schedules, pricing policies, privacy policies and website content at any time without prior notice.
Changes shall take effect immediately upon publication on the Gelmax website.
Continued use of the website or continued purchase of products shall constitute acceptance of such changes.
28. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of Singapore.
Any dispute arising from these Terms & Conditions shall be subject to the exclusive jurisdiction of the Courts of Singapore.

30. Acceptance of Terms
By creating an account, placing an order, submitting information through the website or purchasing products from Gelmax, the customer confirms that they have read, understood and accepted these Terms & Conditions in full.
One additional clause I strongly recommend adding for a B2B food distributor:
9A. Suspension of Account
Gelmax reserves the right, at its sole discretion, to suspend or deactivate a customer account, withhold deliveries, cancel pending orders or withdraw credit facilities where:
• Invoices remain overdue;
• Credit limits are exceeded;
• False or misleading information has been provided;
• Fraudulent, abusive or unlawful activity is suspected; or
• Gelmax reasonably believes that continued supply may expose Gelmax to financial, legal or commercial risk.
